By accessing or using okr.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
okr.io is a strategy layer for AI agents. The Service provides:
- Objectives and Key Results (OKR) management
- AI agent task orchestration and execution
- Strategic context capture through Office Hours
- Deliverable generation and tracking
- Team collaboration and workspace management
- Integration with third-party services
3. Account Registration
3.1 Account Creation
To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
3.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 Age Requirement
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this age requirement.

5. User Content

You retain ownership of all content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to use, store, and process that content solely to provide the Service to you.
5.2 AI-Generated Content
Content generated by AI agents through the Service ("Generated Content") is created based on your instructions and strategic context. You are responsible for reviewing and approving Generated Content before use. We do not claim ownership of Generated Content, but we may use anonymized and aggregated data to improve the Service.
5.3 Content Responsibility
You are solely responsible for your User Content and any Generated Content you choose to use. You represent that you have all necessary rights to upload User Content and that it does not violate any third-party rights.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including its design, features, functionality, and underlying technology, is owned by okr.io and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.
6.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without any obligation to you.
7. Third-Party Services
The Service may integrate with third-party services (e.g., Stripe, Linear, GitHub). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their content.
8. Payment and Billing
8.1 Subscription Plans
Some features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees. Subscription fees are billed in advance on a monthly or annual basis.
8.2 Free Trial
We may offer a free trial period. At the end of the trial, you will be automatically charged unless you cancel before the trial ends.
8.3 Refunds

8.4 Price Changes
We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
9. Termination
9.1 Termination by You
You may terminate your account at any time through the Service settings or by contacting support@okr.io. Upon termination, your right to use the Service will immediately cease.
9.2 Termination by Us
We may suspend or terminate your account if you violate these Terms or if we discontinue the Service. We will provide reasonable notice when possible.
9.3 Effect of Termination
Upon termination, your data will be retained for 30 days to allow for export. After 30 days, your data may be permanently deleted. Provisions that by their nature should survive termination will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted or error-free
- The Service will meet your specific requirements
- AI-generated content will be accurate, complete, or appropriate
- Defects will be corrected
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OKR.IO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or use of our servers or your data
- Any interruption or cessation of the Service
- Any bugs, viruses, or other harmful code transmitted through the Service
- Any content obtained from the Service
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless okr.io and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Governing Law and Disputes
These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and okr.io regarding the Service.
15.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
